The liabilities being settled are past due or in default. If Sky Quarry fails to deliver the Settlement Shares or Settlement Fee Shares as required, or if certain other events occur, LendSpark may declare a default and seek repayment of the unpaid claim amount net of amounts recovered from share sales. On October 1, 2026, Sky Quarry entered into a Settlement Agreement and Stipulation with LendSpark Corporation to settle outstanding liabilities with an aggregate principal amount of $638,998.00. Sky Quarry will issue LendSpark common stock in an amount sufficient to satisfy the $638,998.00 claim amount, in up to two tranches.
